Terms and Conditions

Please read these Terms and Conditions carefully before accessing or using the website and services of Widers Engineering Services LLC.

These Terms and Conditions (“Terms”) govern your access to and use of the website operated by Widers Engineering Services LLC (“Widers Engineering Services,” “Widers,” “Company,” “we,” “us,” or “our”) and your purchase or use of our services, including construction estimating, quantity takeoffs, cost estimating, engineering-related services, consulting, and related professional services.

By accessing our website, requesting a quote, submitting project information, purchasing our services, or otherwise engaging with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, please do not use our website or services.

1. Definitions

For purposes of these Terms:

“Company,” “Widers,” “we,” “us,” or “our” means Widers Engineering Services LLC, a Florida limited liability company.

“Website” means https://widers.io/ and any related webpages, forms, portals, or online services operated by Widers Engineering Services LLC.

“Client,” “you,” or “your” means the individual, contractor, subcontractor, builder, developer, company, organization, or other legal entity requesting or using our services.

“Services” means any services provided by Widers Engineering Services LLC, including, without limitation, construction estimating, quantity takeoffs, material takeoffs, cost estimating, bid preparation support, engineering consulting, engineering-related services, project-related consulting, and other services described in a proposal, quotation, statement of work, invoice, or written agreement.

“Deliverables” means estimates, quantity takeoffs, reports, calculations, drawings, schedules, spreadsheets, documents, recommendations, or other materials provided to the Client as part of the Services.

2. Acceptance of These Terms

Your use of our Website or Services constitutes your acceptance of these Terms.

If you are using our Services on behalf of a company, contractor, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

We may also provide a proposal, quotation, statement of work, invoice, engagement letter, or other project-specific agreement. If a project-specific written agreement conflicts with these Terms, the project-specific agreement will control to the extent of the conflict.

3. Our Services

Widers Engineering Services LLC provides construction estimating, quantity takeoff, cost estimating, engineering consulting, and related services.

The exact scope of Services will depend on the proposal, quotation, statement of work, or other written agreement provided for the particular project.

Services may include, depending on the project:

  • Quantity and material takeoffs
  • Construction cost estimating
  • Bid and pricing support
  • Labor and material cost analysis
  • Commercial construction estimating
  • Residential construction estimating
  • Construction consulting
  • Engineering consulting
  • Engineering calculations or analysis
  • Project-related technical support
  • Other estimating, engineering, or consulting services agreed upon in writing

We reserve the right to determine whether a requested project falls within our scope of Services and whether additional fees or information are required.

4. Estimates and Quantity Takeoffs

Unless expressly stated otherwise in writing, all estimates, quantity takeoffs, pricing information, and cost analyses provided by Widers Engineering Services LLC are intended to assist the Client with budgeting, planning, bidding, procurement, or decision-making.

An estimate is not a guarantee of the final cost of construction.

Actual project costs may differ from our estimate because of factors including, but not limited to:

  • Contractor and subcontractor pricing
  • Supplier and vendor pricing
  • Geographic location
  • Market conditions
  • Material availability
  • Labor availability
  • Changes in scope
  • Construction methods
  • Installation requirements
  • Site conditions
  • Design changes
  • Unforeseen conditions
  • Taxes, permits, fees, or other governmental requirements
  • Escalation in material or labor costs
  • Information that was unavailable or not provided to us

Unless specifically agreed otherwise in writing, Widers Engineering Services LLC does not guarantee that an estimate will match a contractor’s final bid, actual construction cost, or project budget.

5. Client-Provided Information

The quality and accuracy of our Services may depend on information supplied by the Client.

The Client is responsible for providing complete, accurate, and reasonably legible project information, including, when applicable:

  • Architectural drawings
  • Structural drawings
  • MEP drawings
  • Specifications
  • Civil drawings
  • Project schedules
  • Addenda
  • Scope documents
  • Existing-condition information
  • Site information
  • Vendor information
  • Other documents necessary to perform the requested Services

We are not responsible for errors, omissions, discrepancies, or inaccurate results caused by incomplete, inaccurate, outdated, illegible, or conflicting information supplied by the Client or third parties.

If material project information changes after work has begun, additional Services or fees may be required.

6. Scope Changes and Additional Work

Our quoted fee is based on the scope of work described in the applicable proposal, quotation, statement of work, or written agreement.

Requests for additional work may result in additional charges.

Additional work may include, without limitation:

  • Revised drawings or plans
  • Additional estimating divisions
  • Additional trades
  • Additional project areas
  • Significant scope changes
  • Re-estimating after substantial design changes
  • Additional revisions
  • Expedited turnaround
  • Additional meetings or consultations
  • Work requiring information that was not originally provided

Where reasonably practicable, we will notify the Client of additional charges before performing substantial additional work.

7. Turnaround Times

Any delivery date or turnaround time provided by Widers Engineering Services LLC is an estimate unless expressly guaranteed in a written agreement.

Turnaround time may depend on:

  • Project size and complexity
  • Completeness of project documents
  • Client responsiveness
  • Revisions or changes
  • Additional information requests
  • Workload and scheduling
  • Unforeseen technical issues

We will make reasonable efforts to meet agreed delivery dates but will not be responsible for delays caused by circumstances outside our reasonable control or by the Client’s failure to provide required information.

Unless expressly agreed otherwise, the Client remains responsible for ensuring that our delivery schedule provides sufficient time for the Client’s own bidding, permitting, submission, or construction deadlines.

8. Bid Deadlines and Submission Deadlines

The Client is solely responsible for determining its own bid, proposal, procurement, permit, or submission deadlines.

Widers Engineering Services LLC is not responsible for a Client’s missed bid deadline, lost business opportunity, rejected proposal, expired pricing, or other consequence resulting from the Client’s failure to allow adequate time for our Services, review, revisions, or submission.

We strongly recommend that Clients request Services sufficiently in advance of any deadline.

9. Fees and Payment

Fees for Services will be communicated through a proposal, quotation, invoice, statement of work, or other written communication.

Unless otherwise agreed in writing:

  • Work may begin after the required payment or deposit has been received.
  • The Client is responsible for paying all agreed fees.
  • Additional Services may be subject to additional charges.
  • Payment obligations are not dependent upon whether the Client ultimately receives a contract, wins a bid, obtains financing, or proceeds with construction.

We may suspend or stop work on a project if an invoice becomes overdue.

10. Cancellations and Refunds

Because our Services may involve substantial professional and project-specific work immediately after an order is accepted, cancellation and refund eligibility may depend on the status of the project.

If the Client requests cancellation before work has begun, we may provide a refund subject to any applicable payment-processing fees or other expressly agreed charges.

Once substantial work has begun, payments may be non-refundable to the extent permitted by applicable law because resources, labor, and professional time have been committed to the project.

If a specific proposal, invoice, or service agreement contains a different cancellation or refund policy, that project-specific policy will control.

Refund requests should be submitted promptly and will be evaluated based on the circumstances of the project and applicable agreement.

11. Revisions and Corrections

We will make reasonable efforts to correct errors attributable to our Services when notified within a reasonable period after delivery.

Corrections resulting from our own error may be addressed without additional charge, subject to the original scope of work.

Changes resulting from revised drawings, changed project requirements, new information, client-requested modifications, or changes in scope may be considered additional Services and may incur additional fees.

12. Engineering Services

Certain Services provided by Widers Engineering Services LLC may constitute professional engineering services.

Where professional engineering services are provided, the applicable scope, responsible professional, jurisdiction, deliverables, and professional requirements will be established through the applicable project agreement and governing law.

Unless expressly stated in writing, construction estimates, quantity takeoffs, pricing analyses, consulting materials, and other estimating deliverables should not be interpreted as stamped, sealed, or certified engineering documents.

Nothing on our Website creates an engineering-client relationship for a particular project unless such a relationship is established through an applicable written engagement or agreement.

Where applicable, engineering documents requiring professional review, approval, signature, seal, or certification will be handled in accordance with applicable professional and legal requirements.

13. No Guarantee of Project Outcome

We do not guarantee that use of our Services will result in:

  • Winning a construction bid
  • Winning a contract
  • Obtaining financing
  • Obtaining permits
  • Achieving a particular profit margin
  • Staying within a particular construction budget
  • Obtaining a particular construction cost
  • Completing a project within a particular schedule
  • Achieving any particular business or financial result

Our Services are intended to provide professional assistance and information based on the scope and information available to us.

14. Professional Judgment and Limitations

Our Services are performed based on the information, documents, assumptions, standards, methodologies, and project requirements applicable to the engagement.

Construction and engineering projects involve inherent uncertainties. Conditions discovered after our Services are performed may affect quantities, costs, designs, schedules, or recommendations.

The Client remains responsible for final project decisions, contractor selection, procurement decisions, construction means and methods, site safety, and other matters outside the agreed scope of our Services.

15. Intellectual Property

Unless otherwise agreed in writing, Widers Engineering Services LLC retains ownership of its pre-existing methodologies, templates, processes, systems, tools, software, know-how, and other intellectual property used to perform the Services.

Subject to full payment of all amounts due, the Client receives a limited right to use the final Deliverables for the specific project for which they were prepared.

The Client may not sell, sublicense, reproduce for unrelated projects, distribute, publish, or commercially exploit our proprietary materials, templates, methodologies, or Deliverables beyond the agreed project purpose without our prior written consent, except where such restriction is prohibited by applicable law.

16. Client Materials

The Client retains ownership of documents and materials supplied to Widers Engineering Services LLC.

By submitting documents to us, the Client represents that it has the necessary rights and authorization to provide those materials to us for purposes of performing the Services.

The Client grants us permission to use submitted materials solely as reasonably necessary to perform the agreed Services.

17. Confidentiality

We will use reasonable measures to protect confidential project information provided to us and will not knowingly disclose such information to third parties except as reasonably necessary to perform the Services, comply with legal obligations, protect our rights, or as otherwise authorized by the Client.

If the Client requires a formal Non-Disclosure Agreement (“NDA”), the parties may enter into a separate written NDA.

A separate NDA will control in the event of a conflict regarding confidentiality obligations.

18. Third-Party Services and Information

Our Services may rely on third-party software, databases, pricing information, mapping systems, reference materials, vendor information, or other third-party resources.

Third-party information may change or contain errors.

We do not guarantee the accuracy, availability, completeness, or continued availability of third-party services or information.

We are not responsible for losses arising solely from the failure, interruption, inaccuracy, or unavailability of third-party systems or information outside our reasonable control.

Our Website may contain links to websites, software, services, or resources operated by third parties.

We do not control and are not responsible for the content, security, availability, privacy practices, or terms of third-party websites or services.

Your use of third-party websites is subject to their own terms and policies.

22. Disclaimer of Warranties

We do not warrant that:

  • Our Services will achieve a particular result
  • Estimates will exactly match actual construction costs
  • Third-party information will always be accurate or current

Nothing in these Terms excludes any warranty, right, or protection that cannot legally be excluded under applicable law.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Widers Engineering Services LLC and its owners, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of our Website or Services.

This includes, without limitation, claims involving loss of profits, loss of revenue, loss of business opportunities, loss of contracts, loss of data, business interruption, or construction-related losses.

To the maximum extent permitted by applicable law, our total aggregate liability arising from a particular Service or project will not exceed the amount actually paid to Widers Engineering Services LLC by the Client for the specific Services giving rise to the claim.

Nothing in these Terms is intended to limit liability that cannot legally be limited or excluded under applicable law.

24. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Widers Engineering Services LLC and its owners, employees, contractors, agents, affiliates, and service providers from claims, liabilities, damages, losses, costs, and reasonable expenses arising from:

  • Your violation of applicable laws or regulations
  • Your unauthorized use of our Deliverables
  • Your infringement of a third party’s intellectual property rights
  • Information or materials supplied by you that you did not have the right to provide

25. Force Majeure

We will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, governmental actions, internet or telecommunications failures, power outages, cyber incidents, labor disruptions, illness, emergencies, acts of war, civil unrest, or failures of third-party service providers.

In such circumstances, we will make reasonable efforts to resume Services as soon as practicable.

26. Termination

We may suspend or terminate your access to our Website or Services if you materially breach these Terms, fail to make required payments, provide fraudulent information, misuse our Website or Deliverables, or otherwise engage in conduct that may harm our business or other users.

Termination will not eliminate payment obligations or other provisions that by their nature should survive termination.

27. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law principles.

Any dispute arising from these Terms or our Services shall be handled in accordance with the dispute-resolution provisions below and, where court proceedings are permitted, in a court of competent jurisdiction in Florida, unless applicable law requires otherwise.

28. Dispute Resolution

If you have a dispute or concern relating to our Website or Services, you agree to first contact Widers Engineering Services LLC and provide us with a reasonable opportunity to resolve the issue informally.

Before initiating formal legal proceedings, the parties should make a good-faith effort to resolve the dispute through direct communication.

Nothing in this section prevents either party from seeking emergency or injunctive relief when such relief is permitted by law.

29. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

30. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

A waiver must be made in writing to be effective.

31. Entire Agreement

These Terms, together with any applicable proposal, quotation, statement of work, invoice, engagement agreement, NDA, and other documents expressly incorporated by reference, constitute the agreement between you and Widers Engineering Services LLC regarding the applicable Website or Services.

If there is a conflict between these Terms and a project-specific written agreement, the project-specific agreement will control for that project to the extent of the conflict.
